I. Standard Business Terms

§1 Basic Provisions
  1. The following business terms are applicable to all contracts concluded between you and ADSWAZ LTD via the website www.wonpa.store. Unless otherwise agreed, the inclusion of your own conditions is excluded.

  2. A ‘consumer’ in these terms refers to any natural person who enters into a legal transaction that predominantly cannot be attributed to their commercial or independent professional activities. A ‘businessman’ refers to any natural person, legal entity, or legally responsible partnership that enters into a legal transaction in the course of their independent professional or commercial activity.

§2 Conclusion of the Contract
  1. The subject matter of the contract is the sale of products.

  2. By placing the product on our website, we make a binding offer to conclude a sales agreement under the terms specified in the product description.

  3. The purchase agreement is concluded via the online shopping cart system as follows:

    • The products intended for purchase are placed in the “shopping cart”. You can access the shopping cart and make changes at any time.
    • After proceeding to the “Checkout” page and entering the required personal data and payment/shipping information, you will be able to review your order on the summary page.
    • If using an instant payment system (e.g., PayPal), you will be redirected to the payment provider’s website, where you can confirm the payment before being returned to our online shop.
    • By clicking the “Place order with obligation to pay” button, you make a legally binding acceptance of the offer, completing the purchase.
  4. The details of your order will be sent via email in a partially automated process. Ensure your email address is correct and capable of receiving emails (check spam filters).

§3 Right of Retention, Reservation of Proprietary Rights
  1. You may only exercise a right of retention if claims arise from the same contractual relationship.

  2. The goods remain the property of ADSWAZ LTD until the purchase price is paid in full.

  3. For business customers:

    • Ownership of the goods remains with us until all claims from the ongoing business relationship are settled.
    • Goods may not be pledged or transferred by way of security before ownership transfers to you. You can resell the goods in an ordinary transaction, ceding claims to us to the amount of the invoiced value.
    • In the case of processing, combining, or mixing goods, we acquire co-ownership of the new item in proportion to the invoice value.
§4 Warranty
  1. The statutory warranty rights apply.

  2. As a consumer, you are requested to check the goods for completeness and any visible defects upon delivery and notify us and the shipping company of any issues in writing. Failure to do so does not affect your legal warranty rights.

  3. Business customers:

    • Only the details provided by us or the manufacturer in the product description are considered to represent the product’s condition.
    • If the product is defective, we will repair or replace it at our discretion. If repairs fail after two attempts, you may demand a price reduction or cancel the contract.
    • Warranty claims expire one year after delivery, with exceptions for damages caused by intent, gross negligence, or concealed defects.
§5 Choice of Law, Place of Fulfilment, Jurisdiction
  1. English law applies, excluding the UN Convention on Contracts for the International Sale of Goods. This choice of law does not affect consumer protections guaranteed by the laws of the customer’s place of residence.

  2. For business customers, the place of jurisdiction and fulfilment is our registered office.

2. Information Regarding the Conclusion of the Contract

3. Contractual Language, Saving the Text of the Contract
  1. The contract language is English.

  2. The full text of the contract is not stored by us. Before submitting your order, you can print or save the contract using the browser’s print function. After receiving your order, the order data and terms will be sent to you by email.

4. Main Features of the Product or Service

The key features of the goods and services can be found in the respective product description.

5. Prices and Payment Arrangements
  1. All prices include applicable taxes, and shipping costs are stated separately during checkout.

  2. If delivering outside the European Union, additional charges such as customs duties or bank fees may apply, which must be borne by you.

  3. Payment methods are displayed on our website.

6. Delivery Conditions
  1. Delivery details and any supply restrictions are listed on our website.

  2. For consumers, the risk of accidental loss or damage passes to you upon receipt of the goods. For business customers, the risk passes once the goods are handed over to the shipping company.

7. Statutory Warranty Right

Warranty claims are governed by the rules stated in §4 of our General Terms (Part I).
